1.     INTRODUCTION

1.1

We are Ask the Angel Limited trading as The Property Angel (TPA) (company number SC513453) and our registered address is 329/8 South Gyle Road, Edinburgh EH12 9EE (referred to as "we" or "us" or "our").

1.2

When you use this Site, you agree to be bound by these Terms. Please read these Terms carefully before you start to use our Site. If you do not agree to be bound by these Terms, you must not use this Site. A reference to "you" or "your" is a reference to the user of this Site.

1.3

Certain uses of this Site are prohibited and amount to a misuse of our systems and the Site. Please refer to clause 3 for further details.

1.4

We recommend that you print and keep a copy of these Terms; they are a legally binding agreement between you and us. We may change these Terms at our discretion by updating them on the Site. The then current version of these Terms will apply whenever you use this Site. Please check this page from time to time and take notice of any changes.

2.     OUR RIGHTS AND INTELLECTUAL PROPERTY

2.1

The copyright and all other intellectual property rights in this Site (including all database rights, trademarks, service marks, trading names, text, graphics, code, files and links) belong to us or our licensor(s). All rights are reserved.

2.2

Subject to clause 3, you may download material from this Site for the sole purpose of using this Site. However, you must not copy, transmit, modify, republish, store (in whole or in part), frame, pass-off or link to any material or information on or downloaded from this Site without our prior written consent.

2.3

The device thepropertyangel.com and the word The Property Angel® are our registered trademarks. You must not use or copy them without our prior written consent.

2.4

This Site contains links to websites operated by third parties. We have no control over their individual content. We therefore make no warranties or representations as to the accuracy or completeness of any of the information appearing in relation to any linked websites. The links are for your convenience only. We do not recommend any products or services advertised on those websites. If you decide to access any third party website linked from this Site, you do so at your own risk.

We are not an estate agency. The details of any properties available on this Site are provided to us by third parties for your information only. We do not verify the property details provided to us and therefore make no warranties or representations as to their accuracy or completeness. If you rely on these details, you do so at your own risk. We recommend that you check all property details with the third party before making any decisions or taking any action in regards to a property advertised on our Site.

3.     YOUR OBLIGATIONS AND CONDUCT

3.1

You accept that you are solely responsible for ensuring that your computer system meets all relevant technical specification necessary to use this Site and that your computer system is compatible with this Site.

3.2

You must not misuse our system or this Site. In particular, you must not hack into, circumvent security or otherwise disrupt the operation of our system and this Site, or attempt to carry out any of the foregoing. This includes introducing viruses, trojans, worms, logic bombs or other material which is or could be malicious or technologically harmful.

3.3

You must not use or attempt to use any automated program (including, without limitation, any spider or other web crawler) to access our system or this Site, or to search, display or obtain links to any part of this Site, other than the home page unless the automated program identifies itself uniquely in the User Agent field and is fully compliant with the Robots Exclusion Protocol (a "Permitted Program"). Any such use or attempted use of an automated program (other than a Permitted Program) shall be a misuse of our system and this Site. Obtaining access to any part of our system or this Site by means of any such automated programs (other than a Permitted Program) is strictly unauthorised.

3.4

You must not include links to this Site in any other Site without our prior written consent. In particular (but without limiting the foregoing) you must not include in any other Site any "deep link" to any page on this Site. You may link to our home page provided that you do so in a way that does not (in our reasonable opinion) damage our reputation or expose us to risk. We reserve the right to withdraw linking permission without notice and without giving a reason.

3.5

You must not upload or use inappropriate or offensive language or content or solicit any commercial services in any communication, form or email you send or submit, from or to the Site.

3.6

Whenever you make use of features that allow you to upload content to our Site, or to make contact with other users via our Site, you must comply with the content standards set out in these Terms. Please see clause 4 below. You warrant that any such contribution does comply with the standards mentioned in clause 4 and you will be liable to us and indemnify us against any breach of this warranty.

4.     INTERACTIVE SERVICES AND CONTENT

4.1

All content that you upload to our Site will be considered non-confidential and non-proprietary and we have the right to use, copy, distribute and disclose to third parties any such content for any purpose. We also have the right to disclose your identity to any third party who claims or alleges that content posted or uploaded by you to our Site breaches that third party’s legal rights.

4.2

The views expressed by users on our Site do not represent our views or values.

4.3

All content that you upload to our Site must:

4.3.1

Be accurate (where you state facts);

4.3.2

Be genuinely held (where you state opinions); and

4.3.3

Comply with the applicable law of the country from which they were posted.

4.4

Your content must not:

4.4.1

Contain any material which is defamatory of any person;

4.4.2

Contain any material which is obscene, offensive, hateful, discriminatory, unethical, immoral or inflammatory; or

4.4.3

Contain any material which does or could potentially infringe the intellectual property rights of a third party.

4.5

We will determine in our discretion whether there has been a breach of this clause 4. Where a breach of this policy has occurred we may take such action as we deem appropriate. This action may include the following:

4.5.1

immediate, temporary or permanent withdrawal of your right to use our Site;

4.5.2

immediate, temporary or permanent removal of any posting or material uploaded by you to our Site;

4.5.3

further legal action against you; and

4.5.4

disclosure of such information to law enforcement or authorities as we reasonable feel necessary.

4.6

In addition to all of our rights set out above, we reserve the right to take down any content that you upload to our Site at any time without notice and without having to give a reason and without any refund of any fees you have paid.

5.     REGISTRATION

5.1

To receive details of guides or properties on this Site, you must submit a completed registration form to us. At our discretion, we may refuse your application for registration. If we accept your application for registration, we will confirm this by sending you an email.

5.2

Each registration is for a single user only. You must not share your username and password with any other person or with multiple users on a network.

5.3

You undertake that all information provided by you for the purposes of registering with us is accurate and complete.

5.4

You accept sole responsibility for all use of and for keeping secret any account ID and password that may have been given to you or chosen by you for use on this Site. You will notify us immediately of any unauthorised use of them or any other breach of security of this Site of which you become aware.

6.     BARRING FROM THE SITE

6.1

We reserve the right to bar users from this Site and/or restrict or disable their access or use of any or all elements of our services, on a permanent or temporary basis at our sole discretion. Any such user shall be notified and must not then attempt to use this Site under any other name or through any other user.

7.     WARRANTY

7.1

Whilst we endeavour to ensure that any material available for downloading from this Site is not contaminated in any way, we do not warrant that such material will be free from infection, viruses and/or similar code.

7.2

Due to the nature of software and the internet, we do not warrant that your access to, or the running of, this Site will be uninterrupted or error free. We may suspend, withdraw, discontinue or change all or any part of our Site without notice. We shall not be liable if we cannot process your details due to circumstances beyond our reasonable control.

7.3

The information provided on this Site is for general interest only and does not constitute specific legal advice.

7.4

We make no warranties or representations that the property information on this Site is correct, accurate or up-to-date.

7.5

We make no warranty or guarantee that the Site or information available over it complies with laws other than those of Scotland.

7.6

To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our Site or any content on it, whether express or implied.

8.   DISCLAIMER &  LIABILITY

8.1

Any guidance given within this site or by any of our team, including but not limited to our Local Property Angels, is guidance only and does not constitute legal advice or advice to be relied upon by a user. It is offered based on the team's knowledge and experience, gained during our work and time within the property industry. Guidance given is intended only to assist in a user’s home-moving journey and legal advice and advice which can be relied upon should be sought from professional advisers such as estate agents, solicitors, surveyors, mortgage brokers and the like, who have the appropriate professional indemnity insurance cover in place and who we can introduce users to. We strongly recommend that users consult with professional advisors.

8.2

Nothing in these Terms will be deemed to exclude our liability to you for death or personal injury arising from our negligence, or for fraudulent misrepresentation.

8.3

Subject to clause 8.2, we will not be liable for any failures due to software or Internet errors or unavailability, or any other circumstances beyond our reasonable control.

8.4

Subject to clause 8.2, we do not accept any liability for loss of your password or account ID caused by a breakdown, error, loss of power or otherwise caused by or to your computer system.

8.5

We may put in place such systems as we from time to time see fit to prevent automated programs being used to obtain unauthorised access to our system and this Site. You are not permitted to use automated programs for such purposes and any such use or attempted use by you of such automated programs is at your own risk. Subject to clause 8.2, we shall not be liable to you for any consequences arising out of or in connection with any such use or attempted use of automated programs to obtain unauthorised access to our system or this Site.

8.6

Subject to clause 8.2 we will not be liable to you for any loss or damage, whether in contract, delict, (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising under or in connection with:

8.6.1

Use of, or inability to use, our Site; or

8.6.2

Use of or reliance on any content or information displayed on our Site.

8.7

Subject to clauses 8.1 to 8.5 inclusive, if you are a business we shall not be liable to you for:

8.7.1

any indirect, consequential, special or punitive loss, damage, costs and expenses;

8.7.2

loss of profit;

8.7.3

loss of business;

8.7.4

loss of reputation;

8.7.5

depletion of goodwill; or

8.7.6

loss of, damage to or corruption of data.

8.8

Subject to clause 8.1 to 8.5 inclusive, if you are a consumer, please note that we only provide our Site for domestic and private use. You agree not to use our Site for any commercial or business purposes and we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.

8.9

We will not be liable for any loss or damage caused by a virus, distributed denial of service attack or other technologically harmful material that may infect your computer equipment, computer programmes, data or other proprietary material due to your use of our Site or to your downloading of any content on it, or any website linked to it.

8.10

When you use the "contact forms" on this Site to enquire about a property, your details (including your email address) will be used by TPA to engage with you further.

9.     NOTICES

9.1

All notices shall be given to us, by email at [email protected]  or by post to our address provided at the beginning of these Terms.

9.2

If you have registered to use our services then we may serve a notice on you by email at the email address provided to us at the point of registration.

9.3

All notices sent by email will be deemed to have been received on the day that they are sent or, if sent on a national holiday in Scotland or on a Saturday or Sunday, the next working day following the day on which the email was sent. All notices sent by post will be deemed to have been received 3 working days after the date of posting.

10. CUSTOMER FEEDBACK AND QUALITY

10.1

We try to ensure that all customer feedback is dealt with fairly and consistently, and is properly recorded. We welcome any suggestions that you make about how we may improve our service. Please write to us at Customer Services, The Property Angel, using the address provided at the beginning of these Terms or contact us at [email protected]. We aim to acknowledge all customer feedback.

10.2

Phone calls directed to or from our advertisers, which include, but are not restricted to Sellers or Builders, may be recorded for training and monitoring purposes.

11. GENERAL

11.1

We may from time to time change the content of this Site or suspend or discontinue any aspect of this Site, which may include your access to it. Any amendments to these Terms will be made available.

11.2

We may revise these Terms at any time by amending this page. Please check this page from time to time to take notice of any changes we made, as they are binding on you.

11.3

If you are a business user, these Terms are the whole agreement between you and us. You acknowledge that you have not entered into this agreement in reliance on any warranty or representation made by us (unless made fraudulently).

11.4

If a court decides that any part of these Terms cannot be enforced, that particular part of these Terms will not apply, but the rest of these Terms will. A waiver by a party of a breach of any provision shall not be deemed a continuing waiver or a waiver of any subsequent breach of the same or any other provisions. Failure or delay in exercising any right under these Terms shall not prevent the exercise of that or any other right. You may not assign or transfer any benefit, interest or obligation under these Terms.

11.5

If you are a consumer user, please note that these Terms and their subject matter and formation (including any non-contractual dispute or claim) are governed by Scottish Law. You and we both agree that the courts of Scotland will have non-exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident in England and Wales, you may also bring proceedings in England and Wales.

11.6

If you are a business user, these Terms and their subject matter and formation (including any non-contractual disputes or claims) are governed by Scottish law and will be subject to the exclusive jurisdiction of the Scottish courts.

Community Guidelines

Welcome
Welcome to The Property Angel (TPA) Community. Our goal is to allow potential home movers to share the fact that they’re thinking of moving within the next 12 months and connect with other similar potential home movers. No other property portal exists in the UK to allow this to happen. Potential sellers can test the market for free and potential buyers can get a heads up on which properties are ‘coming soon’ up to 12 months ahead. This is a safe environment for property consumers, not property professionals, to interact. Property professionals looking or touting for business are not welcome and anyone reported for breaching these guidelines will be banned from the platform immediately. If you’re honest, kind and respectful to others, you’ll always be welcome here. If you choose not to be, you may not last. Please observe and respect our Safety Guidelines. They are there to protect everyone and anyone found not to be following them will be banned from the platform immediately. Please note that everyone is held to the same standard on TPA We’re asking you to be considerate, think before you act, and abide by our Community Guidelines both on and offline. Yes, your offline behaviour can lead to termination of your TPA account.
Below is a list of our community policies. If you violate any of these policies, you might be banned from TPA. To maintain the integrity of the platform, we encourage you to report any behaviour that violates our policies.

Solicitation or Promotion

This platform is for private homeowners only.
Any estate agent found to be contacting a private homeowner for business or commercial purposes will have their profile removed and be banned from the platform. Further, soliciting other users is prohibited on TPA. If the purpose of your profile is to advertise your event or business, non-profit, political campaign, contest, or to conduct research, we may delete your account. Whilst we’re excited that you’re doing an event next week, please don’t use TPA to promote it.
Harassment
Do not engage, or encourage others to engage, in any targeted abuse or harassment against any other user. This includes sending any unsolicited content to another User. Reports of stalking, threats, bullying, or intimidation, are taken very seriously. In the event that it comes to our attention that someone has harassed, bullied or attacked another user then it is our duty to remove that person’s profile from our platform and also inform all other users who have been in contact with that person on our platform.
Communication
For Users to be able to use the platform effectively it is vital that our messaging system is used properly. If you are a potential seller and list your property and a potential buyer messages you directly, then please make sure you reply to that message as quickly as possible and hopefully take no longer than 24 hours. Likewise, if a potential seller messages you back as a potential buyer then please give them the courtesy of a quick reply. The integrity of the platform is soon compromised if users do not reply to each other and it also suggests that the other party may merely be a time waster, which is not good for anyone Time wasters will not be tolerated and may be banned from the platform. Please remember that one day, you may be on the other side looking to speak to a potential seller/buyer so please treat others as you would want to be treated yourself. Our platform intelligently monitors messaging and will contact users who have not replied to other users at various intervals-24hrs, 48 hrs and 72 hrs and then may remove the silent party from the Platform. In the event that your exchange of messaging is completed, then please use the Archive button.

Violence and Physical Harm
We do not tolerate violent, graphic, or gory content on TPA, or any actions or content that advocate for or threaten violence of any sort, including threatening or promoting terrorism. Physical assault, coercion, and any acts of violence are strictly prohibited.
Content that advocates for or glorifies suicide or self-harm is also not allowed. In these situations, we may take a number of steps to assist the user, including reaching out with crisis resources.

Hate Speech
Any content that promotes, advocates for, or condones racism, bigotry, hatred, or violence against individuals or groups based on factors like (but not limited to) race, ethnicity, religious affiliation, disability, gender, age, national origin, sexual orientation, or gender identity is not allowed.

Private Information
Don’t publicly broadcast any private information, yours or anyone else’s. This includes social security numbers, passports, passwords, financial information or unlisted contact information, such as phone numbers, email addresses, home/work address.
Spam
Don’t be fake. Be real instead. Don’t use TPA to drive people to external websites via a link or otherwise.
Scamming
TPA has a zero-tolerance policy on predatory behaviour of any kind. Anyone attempting to get other users’ private information for fraudulent or illegal activity may be banned. Any user caught sharing their own financial account information (PayPal, Venmo, etc.) for the purpose of receiving money from other users may also be banned from TPA.
Impersonation
Be yourself! Don’t pretend to be someone else.
Do not impersonate, or otherwise misrepresent affiliation, connection or association with, any person or entity. This includes parody accounts.
Minors
You must be 18 years of age or older to use TPA.
Copyright and Trademark Infringement
If it’s not yours, don’t post it. If your TPA profile includes any work that is copyrighted or trademarked by others, don’t display it, unless you are allowed to do so.
Illegal Usage
Don’t use TPA to do anything illegal.

One Person, One Account
TPA accounts cannot have multiple owners, so don’t create an account with your friend or significant other. Additionally, please don’t maintain multiple TPA accounts.
Account Dormancy
TPA is innovative and useful to use! If you don’t log in to your TPA account in 2 years, we may delete your account for inactivity.

Your Personal Safety Guidelines during Covid-19

1. Carry out virtual viewings only initially.
2. Only if the viewer still seems genuinely interested after that, should you organise a physical viewing
3. Check the Covid-19 status of all parties.
4. In accordance with public health guidance, it advises high-risk category clients and occupiers not to be present at viewings wherever possible
5. Two adult viewers maximum can take part in a physical viewing of a property and these should take place outside of commute times.
6. Viewers should wear gloves and face coverings and homeowners should wear face coverings too
7. Prior to the viewing, all doors will be open, and lights switched on, to help ensure that viewers do not need to touch anything, and windows will be open to provide ventilation.

Your Personal Security Guidelines

1. Keep conversations on the TPA platform while you’re getting to know someone. Users with bad intentions often try to move the conversation to text, messaging apps, email or phone right away.
2. Get as much information and build trust wherever possible from the potential buyer before arranging a viewing. Make sure you give that information to a friend or relative before the buyer arrives. 
3. Whenever possible try to avoid being alone?in the property when conducting viewings. If you’re single or your partner is unable to be there, ask a friend or family member to be with you. 
4. Always carry out an identity check.?Ask to see a form of identity before you meet them.
5. Always check who will be coming to the viewing.?If they say they will be alone and more people turn up, do not let them into the property. Make an excuse - one which implies there are other people in the house. If they arrange to come another time, make sure that someone is with you for the viewing. 
6. If you do have to carry out a viewing alone,?then give the viewer the impression that a friend/partner will be coming around to the property shortly.? You should also consider checking the viewer in. Do this by making a call to a friend or relative as soon as they arrive saying "Mr X has just arrived for the viewing. We should be finished in X time and I’ll call you back then." The viewer then knows they have been ‘registered’ as having arrived and that someone is watching out for you. 
7. You can also arrange a code word with your contact?so that if any of the viewers make you feel uncomfortable for any reason, you can say the code word on the phone, which will warn your friend that you feel unsafe but the viewer will have no idea you’ve done this. 
8. If your friend hears the code word, they should either make their way round - or send someone - to your property as soon as possible. 
9. If you feel threatened or uneasy at any point, trust your instincts and act immediately. Make an excuse that you need to get something from your car and get out of the house.? You could then go to a trusted neighbour and ask them to return to the house with you until the viewer leaves. By leaving the viewer in your property alone, you may put your valuables at risk but that’s better than putting yourself at risk.
10. When conducting the viewing, stay alert.?Be friendly but professional and avoid giving out too much personal information. 
11. If the potential viewer comes back without an appointment,?do not feel you have to let them into the property just because you have met them once. Instead, politely make an excuse not to let them in, preferably one that suggests there is someone else in the property and ask them to call and make an appointment for another time. 
12. Report All Suspicious and Offensive Behaviour. You know when someone’s crossed the line and when they do, we want to know about it. Report anyone that violates our terms. Here are some examples of violations:
    1. Harassment, threats, and offensive messages
    2. Inappropriate or harmful behaviour during or after meeting in person
    3. Fraudulent profiles
    4. Spam or solicitation including links to commercial websites or attempts to sell products or services.

We will use the appropriate technical and organisational measures to look after any personal data which we handle. The purpose of this policy explains what you can expect us to do with your personal information when you make contact with us or use one of our services.

What personal data do we collect and how do we use it?

When you contact us or sign up to our services via our website, we may use personal information (such as your name email address, phone number and address/property details/living situation), which you have provided directly, so that our Local Property Angels can understand your property needs better, respond and communicate with you based on Legitimate Interests. Those Legitimate Interests are to enable us to provide an effective commercial service to you and help you with your property buying or selling requirements via our personal property experience call. They also include the recruitment of our Local Property Angels where any data is only collected to screen candidates and judge their suitability to progress to interview. 

We may also keep in touch with you about relevant promotions, updates and services based on consent; you can ask us to stop sending you marketing messages by contacting us or unsubscribing to withdraw your consent at any time.

We also use cookies, pixels and tags (defined collectively as “cookies”) placed by Google or Facebook to collect information about website visitors. Analytics help us understand when and how you use our site and information such as your Internet Protocol (IP) address, which may identify you, is collected by Google. Our advertising cookies enables us to measure, build and optimise audiences for advertising on Facebook or Google. We also use the information we collect to serve you a more personalised experience and more relevant advertisements (referred to as “Retargeting”). Sharing your information

Following our Local Property Angel personal property experience call, and only with your prior permission, we will share your information with relevant, trusted data processors and vetted UK based partners, such as: solicitors, mortgage brokers, conveyancers, utility companies or property services companies. This will be based on consent.

Where we provide links to websites of other organisations, this privacy notice does not cover how that organisation processes personal information; we encourage you to read the privacy notices on the other websites you visit.

Retaining information

We will retain personal data in line with our retention schedule and will keep your personal data while we have an active engagement and not beyond a period of twelve months. If you request us to remove your details from our database, and providing there is no legal exemption, we will delete your data within seven working days.

International transfers

If we ever transfer information outside of the European Economic Area (EEA), we will make sure that it is protected and we will ensure the relevant safeguards are in place, for example: we will only transfer it to a non-EEA country with privacy laws that give the same protection as the EEA, as deemed by the European Commission, or transfer it to organisations that are part of Privacy Shield.

Data Subject rights and how to exercise them with The Property Angel

As the ‘data subject’ you have certain rights under Data Protection law and in relation to personal data we hold about you and depending on our reason for processing the information. We will require evidence of your identity before we are able to act on your request. Details of these rights and how to exercise them:

• Your right of access: You have the right to ask us for a copy of the personal information about you that we hold, and to confirm the nature of the Information and how it is used

• Your right of rectification: You have the right to ask us to rectify information you think is inaccurate. You also have the right to ask us to complete information you think is incomplete. This right always applies

• Your right of erasure: In certain circumstances, you have the right to request that Information we hold about you is erased

• Your right to object to or restrict processing: In certain circumstances, you have the right to object to our processing of your information by contacting us at the address or email address set our in this notice. For example, if we are processing your information on the basis of our legitimate interests and there are no compelling legitimate grounds for our processing which override your rights and interests. You also have the right to object to use of your information for direct marketing purposes.

• Your right of data portability: This only applies to information you have given us. You have the right to ask that we transfer the information you gave us from one organisation to another, or give it to you. The right only applies if we are processing information based on your consent or under, or in talks about entering into a contract and the processing is automated.

We are also unable to comply with requests that relate to information of others without their consent. You can exercise any of the above rights by contacting us at the address or email address set out earlier in this notice. Most of the above rights are subject to limitations and exceptions; we will provide reasons if we are unable to comply with any request for the exercise of your rights.

All your personal Information shall be held and used in accordance with the EU General Data Protection Regulation 2016/679 ("GDPR") and national laws implementing GDPR, such as the Data Protection Act (DPA) 2018 in the UK and any legislation that replaces it in whole or in part and any other legislation relating to the protection of personal data.
